Terms of Service

These Terms of Service ("Terms") govern the access to and use of the GuardingPearSoftware website, the customer dashboard at dashboard.guardingpearsoftware.com, and the software products and services offered by GuardingPearSoftware ("we", "us", "our"). By creating an account, purchasing a product, or otherwise using our services, you ("Customer", "you") agree to these Terms. If you do not agree, do not use our services.
1. Parties and Scope (Business customers only)
The contracting party is GuardingPearSoftware, Tim Uhlott, Donders-Ring 31, 48151 Münster, Germany, email guardingpearsoftware@gmail.com.
Our products and services are offered exclusively to businesses, entrepreneurs, and self-employed professionals acting in the course of their commercial or independent professional activity (B2B). They are not directed at, or offered to, consumers within the meaning of § 13 of the German Civil Code (BGB). By using our services you confirm that you are acting as a business and not as a consumer.
2. Accounts and Teams
To purchase and manage products you must register an account in the dashboard. Accounts are organized into teams, and licenses are allocated to a team as a number of seats. You are responsible for keeping your login credentials confidential, for all activity that occurs under your account, and for providing accurate and current billing information. You may invite team members up to the number of seats you hold.
3. Pricing, Payment and Taxes
Prices for our products (for example Obfuscator for Unity at $79.99 and Anti-Cheat for Unity at $49.99) are stated in the dashboard at the time of purchase and are exclusive of any taxes unless stated otherwise. Products are available as one-time purchases or as subscriptions.
Payments are processed by our payment service provider Mollie B.V. (Keizersgracht 313, 1016 EE Amsterdam, Netherlands), see mollie.com. We do not receive or store your full card details. You must use a valid payment method and authorize us (via Mollie) to charge the applicable fees.
We are a small business within the meaning of § 19 of the German Value Added Tax Act (UStG, Kleinunternehmerregelung). Accordingly, no German VAT is shown or charged on our invoices (0% VAT). Depending on your jurisdiction, you may be responsible for any reverse-charge or local taxes that apply to your purchase.
4. Subscriptions, Renewal and Cancellation
Subscriptions are billed in advance for the chosen billing period (e.g. monthly or yearly). Subscriptions renew automatically at the end of each billing period for a further period of the same length, at the then-current price, until cancelled. You may cancel a subscription at any time from the billing settings in the dashboard.
Cancellation takes effect at the end of the current billing period; you retain access to the subscribed products until that date. Except where mandatory law requires otherwise, fees already paid for the current period are non-refundable. We will notify you in advance of material price changes, which take effect from the next renewal.
5. License Grant (End User License Agreement)
Subject to your compliance with these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the purchased products as set out below.
5.1 Per-seat licensing
Our products are licensed on a per-seat basis. A seat is a license for one individual. You must purchase one individual license (one copy) for each person who directly uses or accesses the product's asset files (for example, each developer who integrates or works with the product). You may hold multiple seats within a team.
5.2 Permitted use
You may use the products to develop, build and ship your own Unity applications and games. The protective or functional output produced by the products may be distributed as an integral part of your own end-user applications.
5.3 Restrictions
- You may not resell, rent, lease, lend, sublicense, or otherwise transfer the products or any license to a third party.
- You may not share, publish, or otherwise make the products or their asset files available to anyone outside your licensed seats.
- You may not store the products or their asset files (including any provided source code) in publicly accessible repositories or locations (for example, public Git repositories, public package registries, or public file shares).
- You may not modify, adapt, translate, or create derivative works of the products, except to the extent expressly permitted for integration into your own applications or where mandatory law allows.
- You may not reverse engineer, decompile, or disassemble the products, except to the extent such activity is expressly permitted by mandatory applicable law and cannot be excluded by contract.
- You may not remove or alter any copyright, trademark, or other proprietary notices.
5.4 Products that include source code
Some products are delivered with source code. Where source code is provided, it is licensed solely so that you can build and ship your own products and applications. You may not sell, share, sublicense, publish, redistribute, or otherwise make the source code (in whole or in part) available to any third party, and you may not use it to create a competing product. The source code must be kept confidential and must not be placed in any publicly accessible repository.
5.5 Ownership
The products are licensed, not sold. All intellectual property rights in and to the products, including any source code, remain the exclusive property of GuardingPearSoftware and its licensors. No rights are granted other than those expressly set out in these Terms.
6. Warranty Disclaimer
To the maximum extent permitted by applicable law, the products and services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the products will be uninterrupted, error-free, or that they will detect or prevent every form of tampering, cheating, or reverse engineering.
7. Limitation of Liability
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the products or these Terms shall not exceed the amount you paid to us for the product giving rise to the claim in the twelve (12) months preceding the event. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.
Nothing in these Terms excludes or limits our liability for damages arising from injury to life, body or health, for damages caused by intent or gross negligence, or for any other liability that cannot be excluded or limited under mandatory applicable law.
8. Term and Termination
We may suspend or terminate your access and licenses if you materially breach these Terms, in particular the license restrictions in Section 5. Upon termination, your right to use the products ends and you must cease all use and delete any provided source code. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
9. Refunds
Refunds and cancellations are governed by our Refund & Cancellation Policy.
10. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where appropriate, notify you. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). As our services are offered to businesses only, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Münster, Germany, to the extent permitted by law.
